CLIENT DESIRES TO CANCEL OR RESCHEDULE

If the Client desires to cancel or reschedule Services for any reason at any time, then Client shall provide at least 24 hours’ notice to Mind Over Matter Financials. Providing notice will not relieve Client of any currently outstanding payment obligations. Mind Over Matter Financials will not be obligated to refund any portion of monies Client has previously paid.

NO-SHOWS

If it becomes impossible for Mind Over Matter Financials to render Services due to the fault of the Client or parties related to Client, such as failure to provide necessary elements of the Services or failure of one or more essential parties to the Services to complete tasks in a timely manner, it is within the Mind Over Matter Financials sole discretion to allow for any additional time or dates to render Services. In such an event, any outstanding amount will immediately become due and payable to Mind Over Matter Financials.

MIND OVER MATTER FINANCIALS DESIRES TO CANCEL OR RESCHEDULE

In the event Mind Over Matter Financials cannot or will not perform obligations in any or all parts of this Agreement, it (or a responsible party) will immediately give notice to Client, and at Mind Over Matter Financials discretion, either attempt to find a reasonable substitute to fulfill the terms of this Agreement or issue a refund or credit based on a reasonably accurate percentage of Services rendered. In the case of a refund where, at the discretion of Mind Over Matter Financials, no reasonable substitute is found, Mind Over Matter Financials shall excuse Client of further performance obligations in this Agreement.

MODIFICATIONS TO THE SERVICES AND PRICES

Prices for Mind Over Matter Financials services are subject to change without notice. Mind Over Matter Financials reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. Mind Over Matter Financials shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

INTELLECTUAL PROPERTY

Mind Over Matter Financials retains the ownership of its copyright in any and all designs pursuant to federal copyright law (Chapter 17, Section 201-02, of the United States Code.) Any and all work produced in connection with, or in the process of fulfilling Services, are expressly and solely owned by Mind Over Matter Financials. Mind Over Matter Financials grants to Client a nontransferable, non-exclusive, royalty-free license of designs produced with and for Client for the specific purpose of Financial Education. Any unauthorized use of the design, such as using the design for other purposes than those specified herein, will result in additional fees and/or royalty payments to Mind Over Matter Financials. Parties own their respective trademarks and intellectual property used in the normal and separate course of their business and agree not to infringe upon or otherwise use each other’s respective intellectual property except for in the course of providing Client with its Services.

LIMITATION OF LIABILITY

MIND OVER MATTER FINANCIALS WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES OF ANY KIND, HOWEVER CAUSED, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU, WHETHER UNDER THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHERWISE, EVEN IF THE OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INDEMNITY

You agree to defend, indemnify and hold Mind Over Matter Financials, its members, employees, officers, directors, managers and agents harmless from and against any and all losses, claims, suits, actions, liabilities, obligations, costs and expenses (including reasonable attorneys’ fees and expenses) which Mind Over Matter Financials suffers as a result of third-party claims based on: (i) your negligence or intentional misconduct, (ii) your breach of any provision of the Terms of Use (including representation or warranty); (iii) materials prepared or provided by you including, but not limited to, any claims of infringement, or misappropriation of copyright, trademark, patent, trade secret, or other intellectual property or proprietary right, infringement of the rights of privacy or publicity, or defamation or libel; or (iv) death, personal injury, or property damage arising out of, or relating to, your obligations hereunder.

MISCELLANEOUS PROVISIONS

If any provision(s) of the Terms of Use is held to be invalid, illegal or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.

The Terms of Use may not be assigned by you without Mind Over Matters Financials prior written consent, however, the Terms of Use may be assigned by Mind Over Matter Financials in Mind Over Matters Financials’s sole discretion.

The Terms of Use are the final, complete and exclusive agreement of the parties with respect to the Website offered by Mind Over Matter Financials.
